This agreement governs the relationship between Local Shop Host (operated by Solutions Codexalia Inc.) and any person (the "Affiliate") who registers for the affiliate program to refer new clients in exchange for commission.
The Affiliate receives a commission on the subscriptions of clients they refer directly (Direct Client), as well as reduced commissions on clients referred by affiliates they have personally recruited (Level 1 and Level 2), subject to having personally referred a minimum number of paying clients. Exact rates are shown in the affiliate dashboard and may be adjusted by Local Shop Host, with reasonable notice for commissions already earned.
Commissions become available 30 days after the referred client's payment (refund period), then are paid out via Wise once the minimum balance is reached, to an account configured by the Affiliate. Local Shop Host is not responsible for delays or fees imposed by Wise.
Commissions are calculated in Canadian dollars (CAD). Payouts are made in CAD or USD, at the Affiliate's choice, at the day's rate when paid. A payout to an account in another currency (for example euros) is converted by Wise and the conversion fees are deducted from the amount paid. Any further conversion applied by the Affiliate's bank is at their expense.
Self-referral (referring yourself via a second account), fraud, spam, and any misleading representation of the program are strictly prohibited and may result in account suspension and loss of unpaid commissions.
Local Shop Host may suspend or terminate affiliate status at any time in the event of a violation of this agreement. The Affiliate may cease their activity at any time; commissions already earned and not disputed remain payable.
The Affiliate acts as an independent contractor, not as an employee, agent, or partner of Local Shop Host.
This agreement is governed by the laws of the province of Quebec and applicable federal laws of Canada.
